These Terms apply to all users and customers of mπr enterprise AI infrastructure services, including but not limited to API access, MCP server connectivity, AI tool orchestration, and related platform features.
2. Description of Services
mπr provides enterprise AI infrastructure built on the open MCP (Model Context Protocol), including:
- Model-agnostic AI infrastructure and tool orchestration
- MCP server access for AI agents and applications
- Content generation services (text, image, video, audio)
- Enterprise API access and integrations
- Private cloud and white-label deployment options
- Managed AI workflows and automation
3. Account Registration
To use our Services, you must:
- Be at least 18 years old and have the legal capacity to enter into these Terms
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
For enterprise accounts, the individual registering represents that they have authority to bind their organization to these Terms.
4. Acceptable Use Policy
You agree NOT to use our Services to:
- Violate any applicable laws or regulations
- Generate illegal, harmful, or malicious content
- Infringe on intellectual property rights of others
- Transmit malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems
- Circumvent rate limits or usage restrictions
- Resell or redistribute Services without authorization
- Use Services for any fraudulent or deceptive purposes
- Harass, abuse, or harm other users or individuals
We reserve the right to suspend or terminate access for violations of this policy.
5. Intellectual Property

mπr and its licensors retain all rights in the Services, including software, APIs, documentation, trademarks, and proprietary content. These Terms do not grant you any rights to use our trademarks or branding without prior written consent.
Your Content
You retain ownership of content you create using our Services. By using our Services, you grant us a limited license to process your content as necessary to provide the Services.
AI-Generated Content
Content generated by AI through our Services is provided under license to you for your use, subject to the terms of your subscription plan. Usage rights may vary by plan tier.
6. Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- Usage-based charges are billed in arrears based on actual usage
- We may change pricing with 30 days' notice for monthly plans or at renewal for annual plans
- Failed payments may result in service suspension
- You are responsible for any applicable taxes
7. Service Availability
We strive to maintain 99.9% uptime for our Services. Enterprise customers may have specific SLA commitments detailed in their service agreements. We reserve the right to perform scheduled maintenance with reasonable advance notice.
We are not responsible for downtime caused by factors outside our control, including third-party AI provider outages, internet connectivity issues, or force majeure events.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM
- WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE ARE NOT LIABLE FOR LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
- AI-GENERATED CONTENT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ACCURACY OR FITNESS
9. Indemnification
You agree to indemnify and hold harmless mπr and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your violation of these Terms
- Your use of the Services
- Content you create or submit through the Services
- Your violation of any third-party rights
10. Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately for:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of fees
- Actions that pose a security risk
- Illegal activity or suspected fraud
Upon termination, your right to use the Services ceases. You may request export of your data within 30 days of termination.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws provisions.
Any disputes arising from these Terms shall be resolved in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of such courts.
12. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Services. Continued use after changes constitutes acceptance of the modified Terms.
